Seller acknowledges receipt of the deposit and, on receipt of the balance, of the full purchase price. If the balance is paid by check, it is paid when the check clears.

4. Delivery, Title and Risk of Loss

Delivery: Buyer will pick up the Property at Seller’s address on the date of sale and load it onto Buyer’s own trailer. Ownership of the Property and the risk of its loss or damage pass to Buyer when Buyer has paid the full purchase price and the Property has been delivered to Buyer. Until then, Seller will keep the Property in its present condition, normal wear excepted.

5. Seller’s Warranty of Title

Seller warrants that Seller is the lawful owner of the Property, has the full right to sell it, and that the Property is free of all liens, security interests and other claims of third parties. Seller will defend Buyer’s title against any such claim. Seller states that the Property is not subject to a certificate of title and has disclosed in Section 2 every defect in the Property known to Seller.

6. Express Warranty

Seller warrants that the engine, transmission and hydraulic system will be in working order at delivery and for 14 days after it. If one of them fails during that time because of a defect that existed at delivery, Seller will pay the reasonable cost of repair, up to the purchase price, after Buyer gives Seller written notice within the 14 days.

7. “As Is” Sale

EXCEPT FOR THE WARRANTY OF TITLE IN SECTION 5 AND ANY EXPRESS WARRANTY STATED IN SECTION 6, THE PROPERTY IS SOLD “AS IS” AND “WITH ALL FAULTS.” SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT ANY WARRANTY THAT APPLICABLE LAW DOES NOT ALLOW TO BE DISCLAIMED.

Buyer acknowledges having had the opportunity to inspect and test the Property, or to have it inspected by a person of Buyer’s choice, before signing, and accepts it in its present condition.

8. Taxes and Fees

Buyer will pay any sales or use tax and any registration or transfer fee due on the purchase. Each party pays its own costs of the sale, and Buyer pays the cost of moving the Property unless the delivery terms say otherwise.

9. Governing Law

This Bill of Sale is governed by the laws of the State of Tennessee. It is the entire agreement between Seller and Buyer about the sale of the Property and may be changed only in a writing signed by both of them.

What it's for

A bill of sale is the written record of a sale of personal property — tools and equipment, a tractor or mower, furniture, electronics, a musical instrument. It identifies the seller, the buyer and the property, states the price and how it was paid, and records what the seller promises: that it owns the property free of liens, and whether it gives any warranty about its condition. The buyer keeps it as proof of purchase; the seller keeps it as proof of when the property, and responsibility for it, changed hands.

Sales of goods are governed by Article 2 of the Uniform Commercial Code, adopted in every state except Louisiana. Under it, the seller warrants good title unless the contract excludes that warranty in specific terms (§ 2-312), implied warranties about quality can be excluded with “as is” language (§ 2-316), and a sale for $500 or more is enforceable in court only with a writing signed by the party it is enforced against (§ 2-201). Sales and use tax, and registration of titled property, are set by each state: many states exempt occasional sales by sellers who are not in the business, but not for every kind of property.

The sample is the private sale of a used compact tractor with its loader and mower deck: a deposit paid in advance and the balance, calculated from the price and the deposit, paid at signing. It sells the tractor “as is” apart from a short written warranty that the parties can change or replace with “None,” and includes an optional notary acknowledgment. Frequently asked questions

Does a bill of sale need to be notarized?

Usually not. A bill of sale for ordinary personal property is valid once it is signed; notarization is generally needed only where a state agency requires it for registered or titled property — some states ask for a notarized bill of sale or title for vehicles, boats or trailers. Notarizing still helps prove the signatures are genuine if the sale is ever disputed. The template includes an optional notary acknowledgment you can complete when it is needed.

Does a bill of sale prove ownership?

It is evidence of the transfer, not a title document. Under UCC § 2-401, title to goods passes to the buyer when the seller delivers them unless the parties explicitly agree otherwise, and the bill of sale records that sale, the price and the seller’s warranty that it owned the goods free of liens. For property with a certificate of title — cars, and in many states boats and trailers — ownership passes through the title itself, so the title must be signed over as well; use the vehicle bill of sale template for a car, truck or motorcycle.

What does “as is” mean in a bill of sale?

It means the buyer takes the property in its present condition, without implied warranties that it works or is fit for any purpose: under UCC § 2-316(3)(a), “as is” or “with all faults” language excludes them. It does not exclude the warranty of title, which can be excluded only by specific language (UCC § 2-312), and it does not protect a seller who misrepresents the property’s condition. Some states bar sellers of consumer goods from disclaiming implied warranties (Massachusetts and Maryland, for example); that mainly affects businesses, because the implied warranty of merchantability applies only to merchants (UCC § 2-314).

Is a handwritten bill of sale legal?

Yes. No special form is required: a handwritten or typed bill of sale that identifies the parties and the property, states the price and is signed is generally valid. For a sale of goods for $500 or more, the UCC requires a writing signed by the party against whom the deal is enforced (UCC § 2-201), and a signed bill of sale satisfies that. A typed bill of sale avoids disputes over illegible serial numbers or amounts, and some agencies have their own forms for registered property, so check before selling a vehicle, boat or trailer.
